Welcome to BAI Media Design. These Terms & Conditions (“Terms”) govern your use of baimediadesign.com and your interactions with the products, creative services, digital services, and other solutions offered by BAI Media Design (“BAI Media Design,” “we,” “us,” or “our”).
By accessing or using our website, purchasing products, requesting services, or engaging BAI Media Design for a project, you agree to these Terms. Additional project-specific terms may also be included in proposals, estimates, invoices, contracts, or other written agreements.

The specific scope, deliverables, pricing, and timeline for a client project may be established separately through a proposal, estimate, invoice, contract, or written communication.
2. Project Estimates & Pricing
Prices displayed on our website or provided through estimates and proposals may vary depending on the scope and complexity of a project.
An estimate is not necessarily a final price unless specifically stated otherwise. Additional work, revisions, materials, production costs, installation requirements, third-party expenses, or changes to the original project scope may result in additional charges.
We will make reasonable efforts to communicate significant changes in project costs before proceeding with additional billable work.
3. Deposits & Payments
Certain projects may require a deposit or advance payment before work begins.
Unless otherwise specified in writing, deposits may be applied toward the total project cost. Remaining balances must be paid according to the payment schedule provided in the applicable proposal, invoice, or agreement.
BAI Media Design may pause work, withhold final deliverables, delay production, or suspend services when required payments are overdue.
Final production-ready or unrestricted project files may not be released until all outstanding balances associated with the project have been paid.
4. Project Scope & Revisions
Each project is based on an agreed scope of work.
Reasonable revisions may be included depending on the project or service package. Requests that substantially change the original concept, direction, specifications, dimensions, functionality, content, or scope may be considered additional work and may require additional fees.
Clients are responsible for reviewing proofs and providing clear and timely feedback.
5. Client Responsibilities
Clients are responsible for providing accurate and complete information necessary to complete their projects, including applicable:
- Text and copy
- Contact information
- Logos and brand assets
- Photographs and graphics
- Product information
- Menu items and pricing
- Measurements and specifications
- Account or platform access
- Project requirements
- Required approvals
Clients represent that they have the necessary rights or permissions to use materials they provide to BAI Media Design.
BAI Media Design is not responsible for claims arising from materials supplied by a client without appropriate authorization.
6. Client Approval
Clients are responsible for carefully reviewing and approving designs, proofs, layouts, content, spelling, pricing, measurements, specifications, colors, quantities, and other project details before final production, publication, installation, or launch.
Once final approval has been provided, the client assumes responsibility for approved content and specifications.
Changes requested after approval may result in additional costs or production delays.
7. Printing & Production
Printed colors may differ from colors displayed on computer monitors, mobile devices, or other digital screens. Variations may occur because of printing methods, inks, materials, finishes, lighting conditions, equipment, and color-management processes.
Minor variations in color, trimming, positioning, materials, or finishing may occur during commercial production.
Clients are responsible for reviewing and approving final proofs before production.
Once custom products have entered production, cancellation, modification, or refund options may be limited.
8. Signage & Installation
Signage projects may require accurate measurements, site access, landlord approval, property-owner authorization, permits, electrical work, or other requirements.
Unless specifically included in the project agreement, the client is responsible for obtaining necessary property approvals, licenses, or permits.
Installation timelines may be affected by weather, site conditions, accessibility, material availability, permitting, third-party contractors, or circumstances outside our reasonable control.
9. Website Design & Development
Website projects may involve third-party services such as hosting companies, domain registrars, content-management systems, plugins, themes, APIs, payment processors, e-commerce platforms, and other software.
BAI Media Design does not control third-party services and cannot guarantee their continuous availability, pricing, security, compatibility, or future functionality.
Unless otherwise agreed, clients are responsible for ongoing expenses associated with domains, hosting, subscriptions, plugins, licenses, payment processors, and third-party services.
We do not guarantee specific search-engine rankings, website traffic, conversion rates, sales, or other business results.
10. AI Creative & AI-Powered Services
BAI Media Design may use artificial intelligence technologies in connection with creative concepts, imagery, video, content, applications, automation, prototypes, workflows, and other services.
AI-generated or AI-assisted content may occasionally contain inaccuracies, inconsistencies, artifacts, or unintended similarities to other content.
Clients are responsible for reviewing and approving final AI-assisted materials before commercial publication or implementation.
The availability, licensing terms, capabilities, and policies of third-party AI platforms may change without notice and are outside the direct control of BAI Media Design.
11. Intellectual Property
Unless otherwise agreed in writing, BAI Media Design retains ownership of preliminary concepts, unused designs, drafts, working files, development methods, templates, processes, tools, and other materials not specifically transferred to the client.
Upon full payment, the client may receive rights to approved final deliverables as specified in the applicable project agreement.
Third-party assets—including fonts, stock photography, software, plugins, templates, AI technologies, and licensed materials—remain subject to their respective licenses and are not transferred beyond the rights permitted by those licenses.
12. Portfolio Rights
Unless prohibited by a confidentiality agreement or otherwise agreed in writing, BAI Media Design may display completed client projects in our portfolio, website, social media, presentations, advertising, award submissions, and other promotional materials for the purpose of demonstrating our work.
Client trademarks, company names, and other intellectual property remain the property of their respective owners.
If confidentiality is required, it should be communicated and agreed upon in writing.
13. Website Shop & Product Orders
Products offered through the BAI Media Design Shop may include customized, made-to-order, printed, digital, or other creative products.
Product descriptions and images are intended to represent products as accurately as reasonably possible. Actual colors, dimensions, finishes, and appearance may vary slightly.
Orders may be subject to product availability, production schedules, shipping times, and other applicable restrictions.
14. Custom & Personalized Products
Because customized and personalized products are produced according to customer specifications, they may not be eligible for return or refund once production has begun, except where required by law or where the product is materially defective or does not conform to the approved order.
Customers are responsible for verifying spelling, artwork, names, dimensions, colors, quantities, and other personalization details before approving production.
15. Digital Products
Digital products may be subject to separate license restrictions.
Unless expressly authorized, purchasing a digital product does not grant the purchaser the right to resell, redistribute, sublicense, reproduce for resale, or claim ownership of the original product.
Because digital products can generally be accessed or downloaded immediately, refunds may be restricted after delivery or download, subject to applicable law.
16. Cancellations & Refunds
Cancellation and refund eligibility depends on the type of product or service and the amount of work already completed.
Deposits, design fees, production costs, custom materials, third-party expenses, and completed work may be non-refundable where permitted by law and as specified in the applicable agreement.
If a project is canceled after work has begun, the client may be responsible for work completed and expenses incurred through the cancellation date.
Nothing in these Terms limits any refund or cancellation rights that cannot legally be waived.
17. Project Timelines
BAI Media Design makes reasonable efforts to meet estimated project timelines. However, completion dates may be affected by client response times, revisions, approvals, material availability, shipping, vendors, technical issues, weather, third-party platforms, or other circumstances beyond our reasonable control.
Unless specifically guaranteed in writing, project timelines are estimates rather than guaranteed completion dates.
18. Third-Party Services & Links
Our website and services may contain or rely upon third-party websites, software, applications, payment processors, hosting providers, plugins, APIs, shipping services, and other platforms.
BAI Media Design is not responsible for the availability, security, policies, content, pricing, or performance of independent third-party services.
Use of those services may also be governed by their respective terms and privacy policies.
19. Prohibited Website Use
You agree not to use our website to engage in unlawful activities; interfere with website operation or security; attempt unauthorized access to accounts, systems, or data; distribute malicious software; copy or exploit website content without authorization; impersonate another person or business; or otherwise misuse our website or services.
We reserve the right to restrict access when necessary to protect our website, business, customers, or legal rights.
20. No Guarantee of Business Results
BAI Media Design provides creative and technology services intended to support our clients’ business and marketing objectives.
However, we do not guarantee any specific level of revenue, sales, customers, leads, engagement, website traffic, search-engine ranking, profitability, productivity improvements, or other business outcomes.
Results depend on numerous factors outside our control.
21. Limitation of Liability
To the fullest extent permitted by applicable law, BAI Media Design will not be liable for indirect, incidental, special, consequential, or similar damages arising from use of our website, products, services, third-party platforms, or project deliverables.
Where liability cannot legally be excluded, it will be limited only to the extent permitted by applicable law.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
22. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless BAI Media Design from claims, damages, liabilities, and reasonable expenses resulting from materials you provide, your unauthorized use of third-party intellectual property, your misuse of our website or services, or your violation of these Terms.
